Terms of Service, VRM

These Terms of Service ("Terms") are a binding agreement between you ("you" or "User") and Truegility Inc., a Delaware corporation ("Truegility," "we," "us," or "our"), governing your access to and use of the VRM application and related services (the "Service"). By checking the acceptance box, creating an account, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

VRM is a quantity/price/mix analysis application. The Service is provided on an "as available" basis and may change, be suspended, or be discontinued at any time. Data you analyze in VRM is processed in your browser; Truegility does not require you to upload your business data to use the analysis features. While your underlying data and files are never transmitted to Truegility, limited operational metadata about your usage (such as dataset size and feature usage) may be collected as described in our Privacy Policy.

Free access. The Service is currently provided to you free of charge. Truegility may introduce fees for the Service or for certain features in the future; if we do, we will give you notice before any charges apply to you, and your continued use after fees take effect constitutes your acceptance of them.

Proprietary, not open source. VRM is proprietary software offered as a hosted service. It is not open-source. No source code, no license to the underlying code, and no right to copy, modify, or redistribute the software is granted to you. You receive only the limited right to use the hosted Service described in Section 3.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract. You access the Service using a one-time email code; you are responsible for maintaining control of your email inbox and for all activity under your account. Notify us promptly at info@truegility.com of any unauthorized use.

3. License and Restrictions

Subject to these Terms, Truegility grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You agree that you will not, and will not permit anyone to:

4. Intellectual Property

The Service, including all software, source code, designs, text, graphics, interfaces, methodologies, and all intellectual property rights therein, is and remains the exclusive property of Truegility and its licensors. These Terms grant you no ownership rights. All rights not expressly granted are reserved. "VRM," "Truegility," and associated logos are marks of Truegility Inc.

5. Your Data

You retain all rights to the data you process using the Service. Our collection and handling of the limited personal information associated with your account is described in our Privacy Policy.

6. Confidentiality

The Service and any non-public information about it (including its performance, features, and methodology) are Truegility's confidential information. You agree not to disclose such information or use it except as permitted by these Terms.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TRUEGILITY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY ANALYSIS OR OUTPUT WILL BE ACCURATE OR RELIABLE. YOU ARE SOLELY RESPONSIBLE FOR DECISIONS MADE BASED ON THE SERVICE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUEGILITY AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. TRUEGILITY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID TRUEGILITY IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify and hold harmless Truegility from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service or your breach of these Terms.

10. Termination

We may suspend or terminate your access at any time, with or without notice, including for any breach of these Terms. Sections 3–9, 11–16, survive termination.

11. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. You and Truegility consent to the exclusive jurisdiction and venue of the state and federal courts located in King County, Washington, for any dispute arising out of or relating to these Terms or the Service.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Truegility regarding your use of the Service and supersede any prior or contemporaneous agreements concerning the Service. Any separate Statement of Work (SOW) or Master Services Agreement (MSA) between you and Truegility will supplement these Terms, and in the event of a conflict, the SOW or MSA will prevail to the extent of that conflict.

14. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Truegility. Truegility may assign these Terms, in whole or in part, without your consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Any attempted assignment in violation of this section shall be null and void.

15. Waiver

The failure of Truegility to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver of any provision of these Terms will only be effective if in writing and signed by Truegility.

16. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, power outages, internet or telecommunications failures, cyberattacks, or government-imposed restrictions.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and may require you to re-accept. Continued use after changes become effective constitutes acceptance.
